Redline Construction Solutions

Chapter 3. What you get back · Step 11 of 15

What you send the GC

The review ends with things you can send. Redline drafts the GC-facing packet, a Word file with tracked changes, and the contract PDF with every redline marked on it. You choose what goes. Nothing is ever sent without you.

Live document

The negotiation packet for the GC

Built by the product from the sample review, on your decisions from step 6. It groups the asks the way a GC will read them: the requested changes to talk through, then clarifications that cost nothing, then items noted for the record because they flow down from the prime and likely aren't the GC's to change. Each ask carries the page, the current language, the proposed language and a short reason written for the GC, not for a lawyer.

Reject a redline or choose Accept, Price it or Insure it in step 6 and that item drops out of the packet.

Everything that comes out of a review

Four deliverables, one source

  1. 1

    The marked-up PDF

The GC's own contract with every redline marked on it, as editable comments that open in Bluebeam or Acrobat, or flattened for a clean read.
  2. 2

    Word with tracked changes

Each redline as a real tracked change with a comment explaining it, so the GC's counsel can accept or reject line by line. The download above is that file, built from the sample.
  3. 3

    The negotiation packet

The plain-English version for the person across the table, grouped by how likely each ask is to land.
  4. 4

    The cover memo

A short note for your team or counsel: overall risk, the top items, and the scope statement of what the automated pass didn't examine.

The sample's cover memo

  • We returned 15 items for review, and overall risk is high.
  • Payment Terms (p. 2): Payment terms appear to be net-60 days, beyond the standard net-30.
  • Indemnification (p. 3): Indemnity may be broad-form, requiring the Subcontractor to indemnify the customer for the customer's own negligence.
  • Payment: Contingent Payment (p. 2): Contract makes payment to the Subcontractor contingent on the owner/upstream party paying first (pay-if-paid / condition precedent).
